1. Purpose and acceptance
These terms of sale and use (the “Terms”) govern access to and use of the netlinking.si service, published by Stellar Group SAS, [to be completed], 13480 Cabriès, France (“we”).
netlinking.si is designed first for professionals: agencies, SEO consultants and freelancers, businesses. Where the customer is a consumer within the meaning of the French Consumer Code, the provisions protecting consumers also apply and prevail in case of conflict.
The Terms are accepted when the account is created and recalled before each payment. They prevail over any purchasing terms of the customer, unless otherwise agreed in writing.
2. Definitions
- Service: the netlinking.si online software, its website, application, API and emails.
- Customer: the individual or legal entity that creates an organization and, where applicable, subscribes to a plan.
- User: any member of the customer organization.
- Plan: one of the subscription levels described on the Pricing page.
- Credit: the unit used to pay for one-off actions in the Service.
3. Account and organization
An account is created with an email address (sign-in link) or a Google account. The customer provides accurate information and protects access to the mailbox used to sign in.
The customer is responsible for the actions of the users it invites into its organization and for their roles. Creating several organizations or accounts to get around a limit, the free plan or the trial is prohibited.
4. The Service
netlinking.si helps earn links and citations: comparison of competitor links, ranked opportunities, tracking of AI engine answers, discovery of sites, contacts and content, drafting and sending emails, tracking of earned links, reports and API.
The features and limits of each plan are described on the Pricing page. We improve the Service regularly; a change will not remove an essential feature of an ongoing paid plan without notice to the customer.
5. Plans and prices
As of the last update, the plans are:
- Free: €0, no credits, limited previews
- Starter: €29 incl. VAT per month, or €290 incl. VAT per year, 750 credits included every month
- Pro: €99 incl. VAT per month, or €990 incl. VAT per year, 2,000 credits included every month
- Agency: €299 incl. VAT per month, or €2,990 incl. VAT per year, 5,000 credits included every month
Prices are in euros, including VAT: the displayed price is the price paid. The VAT included is determined by the customer country and status and is shown on the invoice; a business established in another EU member state that provides a valid EU VAT number, or a customer established outside the European Union, pays the same price, invoiced without VAT (reverse charge or export of services).
With annual billing, 12 months are billed at the price of 10 months, and credits are still granted every month. Extra monthly credits can be added to any paid plan, at the price shown in the application.
We may change our prices. A new price applies to an ongoing subscription only from the next renewal, after at least 30 days notice; the customer may cancel before then.
6. Free plan
The free plan gives access to a reduced analysis (including 1 competitor) and previews, with no credits and no time limit. Its content may change; it is provided as is, with no availability commitment.
7. Trial
A 7-day trial is offered on the Starter or Pro plans, once per organization and per payment method. A credit card is required at the start of the trial; 200 credits are granted to try the Service.
Nothing is charged during the trial. Unless canceled before the trial ends, the subscription starts automatically and the first payment is charged on that date.
8. Payment and renewal
Payments are processed by our payment provider, Stripe. The subscription, monthly or annual, is payable in advance and renews automatically for the same term at each renewal date until canceled.
Invoices are available in the application (Subscription, Manage billing). If a payment fails, we notify the customer; if it is not settled, access to paid features may be suspended and the subscription then terminated. For business customers, any late payment automatically incurs the fixed recovery fee of 40 euros provided by Article L441-10 of the French Commercial Code.
9. Plan changes and cancellation
An upgrade applies immediately: the price difference is invoiced pro rata for the current period, and the extra credits are granted right away. A downgrade takes effect at the next renewal.
The customer can cancel at any time from the application (Subscription, Manage billing). Cancellation takes effect at the end of the paid period: the Service remains available until then, after which the organization returns to the free plan. Except for the right of withdrawal or as otherwise required by law, the current period is not refunded.
10. Credits
One credit is worth €0.01 including VAT. Credits pay for one-off actions (adding a competitor, finding sites, drafting an email, asking AI engines a question, and so on); the price of each action is shown in the application before it starts. Ongoing tracking is included in the subscription.
- Monthly credits: granted every period, including every month of an annual subscription. They do not roll over: the balance is reset to the plan level at each renewal.
- Credit packs, for subscribers only, as a one-time payment: 500 credits for €12 incl. VAT, 1,000 credits for €22 incl. VAT, 2,500 credits for €52 incl. VAT, and 5,000 credits for €100 incl. VAT. They never expire and are used after the monthly credits.
- Free credits: 200 credits during the trial, and 50 credits once per organization at the end of the getting-started checklist.
- Failed action: an action that does not complete refunds its credits.
Credits have no monetary value: they cannot be refunded, converted or transferred, except when the right of withdrawal is exercised. The customer can set monthly caps per member or per project.
11. Right of withdrawal (consumers)
A consumer customer has 14 days from subscription to withdraw, without giving any reason, by sending an unequivocal statement to [email protected] (the model form annexed to Article R221-1 of the French Consumer Code may be used).
By requesting immediate access to the Service, the consumer agrees that performance starts before the end of that period. If the consumer withdraws, they pay an amount proportionate to the Service provided until withdrawal. The right of withdrawal is lost for services fully performed and for digital content supplied (credits used, analyses produced) with the consumer prior consent and express waiver (Articles L221-25 and L221-28 of the French Consumer Code).
Refunds are made within 14 days of withdrawal, using the same means of payment. Business customers have no right of withdrawal.
12. Customer obligations
The customer uses the Service fairly and lawfully. In particular:
- Outreach: emails are sent in the customer name, from its own mailbox (Gmail or SMTP) or from the shared netlinking.si sending domain. The customer is the sender and solely responsible for them: it complies with the GDPR and the rules on email prospecting (Article L34-5 of the French Postal and Electronic Communications Code), contacts professionals for a reason related to their business, identifies itself clearly, honors every objection, and sends no misleading messages.
- No unsolicited bulk email: sending is limited by quotas specific to each plan and ramps up gradually. We may suspend sending, or the account, in case of complaints, abnormal bounce rates or abuse.
- Content: the customer is responsible for the content it writes, sends or publishes (emails, articles, comments), including content drafted with AI, which it reviews before use.
- Data: no resale of Service data, and no bulk extraction or export of Ahrefs Domain Rating values, which are shown for the customer own use only.
- Platform integrity: no automated extraction (scraping) of the Service outside the API, no circumvention of limits or quotas, no reverse engineering, no resale or sharing of access or API keys.
13. Data, estimates and results
SEO metrics (authority, traffic, volumes, links) come from third-party data providers, and AI engine answers from automated queries at a given moment. They are estimates, which may differ from actual values and change from one check to the next.
netlinking.si is a decision-support tool. We guarantee no search engine ranking, no link earned or kept, no reply from a contacted site, and no citation by an AI engine.
14. Affiliate program
The affiliate program is governed by its own terms, accepted when the affiliate link is activated in the application. In short: 30% of each payment collected, excluding VAT, from a referred customer, for as long as the referred customer stays subscribed, last-click attribution with a 60-day cookie, commission available 30 days after payment.
15. Availability and support
We use reasonable efforts to keep the Service available at all times, without guaranteeing uninterrupted availability: interruptions may occur for maintenance, updates or a provider outage. Support answers by email on business days.
16. Liability
Our obligations are obligations of means (best efforts). We are not liable for indirect damage (loss of revenue, customers or rankings, search engine penalties, reactions of contacted sites), nor for the consequences of content and sending decided by the customer.
For a business customer, our total liability, for all causes combined, is limited to the amounts paid by that customer for the Service during the 12 months preceding the event giving rise to liability. This limit does not apply to gross negligence or willful misconduct, to bodily injury, or against a consumer where the law forbids it.
17. Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code, including a general failure of a network or of an essential provider. If the impediment lasts more than 30 days, either party may terminate the agreement in writing.
18. Intellectual property
The Service, its code, interfaces, texts and databases remain our property. For the term of its subscription, the customer receives a personal, non-exclusive and non-transferable right to use the Service for its own needs and those of its clients.
The customer remains the owner of its data and of the content it imports, and authorizes us to process them to provide the Service. Content produced for the customer (emails, briefs, articles) belongs to it as soon as it is created, subject to third-party rights. Ideas and feedback sent to us may be used freely to improve the Service.
19. Personal data and data processing
The processing for which we are controller is described in the privacy policy. For the data the customer processes with the Service (contacts of sites reached, emails and replies, data imported from its accounts, reports), the customer is the controller and we act as processor within the meaning of Article 28 GDPR. As such, we undertake to:
- process this data only to provide the Service, on the instructions given by the customer through its use of the Service;
- ensure that people authorized to process it are bound by confidentiality, and apply appropriate security measures;
- use only the categories of subprocessors described in the privacy policy, inform the customer of any change of subprocessor so that it can object, and impose the same obligations on them;
- base any transfer outside the European Union on an adequacy decision or the European Commission Standard Contractual Clauses;
- assist the customer in responding to requests to exercise data subject rights and, to a reasonable extent, with its impact assessments;
- notify the customer of any personal data breach affecting it without undue delay after becoming aware of it;
- at the end of the agreement, delete the data (the customer can export it beforehand), unless the law requires it to be kept;
- make available the information needed to demonstrate compliance with these obligations.
The customer warrants that it has a legal basis for the processing it carries out and that it informs the people concerned.
20. Suspension and termination for breach
If the customer breaches the Terms, we may suspend all or part of the Service after a formal notice that remains unanswered for 8 days, or immediately in case of serious breach (spam, unlawful content, fraud, security threat, non-payment), and then terminate the agreement, without prejudice to damages.
The customer can delete its account at any time from the application. After termination or deletion, its data is erased according to the periods set out in the privacy policy; the customer should export it beforehand.
21. Changes to the Terms
We may change the Terms. The customer is notified by email or in the application at least 30 days before a significant change takes effect and may cancel before that date. Using the Service after that date constitutes acceptance.
22. Governing law and disputes
The Terms are governed by French law. In case of dispute, the parties first seek an amicable solution: write to [email protected].
A consumer customer may use the consumer mediator free of charge: [to be completed] ([to be completed]). The consumer may bring proceedings, at its choice, before the court of the place where it lived when the contract was concluded or when the harmful event occurred, or any other court with jurisdiction under the law.
For business customers, any dispute falls under the exclusive jurisdiction of the courts within the Aix-en-Provence Court of Appeal district, including for summary proceedings or where there are several defendants.
